End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you and CuteNite for the use of the CuteNite application and services. By installing, accessing, or using the app, you agree to be bound by the terms of this EULA.

2. License Grant

CuteNite grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the application strictly in accordance with the terms of this EULA.

3. Restrictions and Community Guidelines

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the application
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the application
• Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of CuteNite
• Use the application for any illegal or unauthorized purpose
• Violate any applicable laws or regulations while using the application
• Violate our Community Guidelines

4. Intellectual Property

The application, including all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of CuteNite. You acknowledge that you will not acquire any ownership rights by downloading, installing or using the application.

5. User Content

You retain all rights to any content you submit, post or display on or through the application. By submitting content, you grant CuteNite a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such content.

6. Updates and Modifications

CuteNite reserves the right to modify, suspend or discontinue, temporarily or permanently, the application or any service to which it connects, with or without notice and without liability to you.

7. Term and Termination

This EULA shall remain in effect until terminated by you or CuteNite. We may, in our sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice. This EULA will terminate immediately, without prior notice from CuteNite, in the event that you fail to comply with any provision of this EULA.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CUTENITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

IN NO EVENT SHALL CUTENITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUTENITE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 USD).

10. Indemnification

You agree to indemnify and hold harmless CuteNite and its officers, directors, employees and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses arising out of or in any way connected with your access to or use of the application.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which CuteNite operates, without regard to its conflict of law provisions.

12. Changes to This EULA

We reserve the right to modify this EULA at any time. We will notify you of any changes by posting the new EULA on this page and updating the "Last updated" date.
